Payment Terms & Conditions

1. Services & Packages

  • By selecting a Yelp advertising package (“Package”), you are purchasing professional advertising services provided by The Chimera Marketing to be executed on your behalf through your Yelp Business Page.
  • Each Package is clearly detailed on our website and/or in your proposal, including:
    • Campaign duration
    • Ad features and strategies
    • Deliverables such as ad copy, graphics, reports, and optimization support
    • Pricing and payment terms
  • In addition to standard packages, clients may request custom marketing services such as:
    • Website design and development
    • Social media marketing and management
    • Logo and brand design
    • Google Ads or Meta advertising campaigns
    • Amazon PL Management & SEO
    • Website SEO
    • Graphics Designing
  • For all custom services, pricing will be determined on a case-by-case basis, depending on project scope, timelines, and resource requirements. These services will be quoted separately, and execution will begin only after mutual written agreement and payment confirmation.

2. Payment Terms

Payment is due based on the selected Package and must be made to The Chimera Marketing’s bank account as Detailed below:

  • Full Monthly payment is required prior to campaign initiation and the start of every month, (first three days) till the campaign is live/working.
  • All banking fees (e.g., wire or transaction charges) are the responsibility of the client.

3. Refund & Cancellation Policy

  • Cancellations: Notify us in writing at least 14 days prior to campaign start for a full refund.
  • After start:
    • If canceled within the first 30 days: Chimera Marketing Holds the right to subtract the amount spent on campaign and refund the remaining.
    • There is no refund for the payment made in terms of Service “Mentioned as Chimera Flat fee” if cancelled services. 
    • After 30 days: No refund but campaign termination can be arranged on mutual terms.
  • Refund requests must be submitted via email; we as The Chimera Marketing reserve the right to audit campaign usage and ad performance data.

4. Client Responsibilities & Content Submission

  • Clients guarantee ownership or license to all content, trademarks, or third-party assets used in ads.
  • You must provide complete, accurate, law-compliant advertising content prior to campaign launch.
  • Ads should not be misleading or violate state/federal laws (e.g., FTC, UCL) Yelp Terms+10Yelp Terms+10Yelp for Business+10Los Angeles Times.

5. Legal & Regulatory Compliance

  • All ads must comply with the FTC Act, California’s Unfair Competition Law (Cal. Bus. & Prof. Code § 17200 et seq.), and California’s False Advertising Law (Cal. Bus. & Prof. Code § 17500) Wikipedia.
  • Clients must not submit deceptive or misrepresentative ads.
  • The Chimera Marketing reserves the right to reject any content it deems non-compliant with legal standards or platform rules.

6. Intellectual Property

  • You grant The Chimera Marketing a license to use your content for campaign purposes on your business page.
  • Ownership of all provided materials remains with you; you also grant the right to display campaign results/metrics publicly (e.g., case studies) after the approval. Clients hold all the rights to refuse the use of results/metrics publicly by Chimera Marketing.

 

7. Taxes & Fees

  • Payments do not include applicable taxes or regulatory fees; any such amounts will be added to invoices and paid by the client.

8. Limitation of Liability & Indemnification

  • Neither party is liable for any indirect, special, incidental, or consequential damage.
  • Your total liability is limited to the amount you have paid under this agreement.
  • Clients agree to indemnify The Chimera Marketing and its partners from claims, damages, or losses arising out of your ad content or breach of these Terms.

9. Term & Termination

  • This agreement covers the duration of the selected Package.
  • Either party may terminate with notice if the other materially breaches terms and fails to cure within 15 days.
  • Upon termination, outstanding fees become immediately due; refund rules apply as described above.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of California, without regard to conflict rule.
  • Disputes will be first addressed via informal negotiations.
  • If unresolved within 30 days, disputes will be resolved through arbitration under the American Arbitration Association in Los Angeles County, California.

11. Modifications

  • We reserve the right to update these Terms at any time.
  • Clients will be notified in writing or via email before changes take effect.
  • Continued use of our services after notification constitutes acceptance of the updated Terms.
